The Enterprise Law 2020 was born to replace the Enterprise Law 2014 with some new highlights. In which, the Enterprise Law 2020 adds many subjects who are not allowed to establish and manage enterprises.
But in general, apart from organizations and individuals that do not have the right to establish and manage an enterprise as prescribed in Article 17 of the Enterprise Law 2020, everyone has the right to establish and manage an enterprise in Vietnam, but is subject to restrictions. governed by the following rules:
For private enterprise:
Each individual is only entitled to establish a private enterprise. The owner of a private enterprise cannot concurrently be the owner of a business household or a member of a partnership.
A private enterprise is not entitled to contribute capital to the establishment or purchase shares or contributed capital in a partnership, limited liability company or joint-stock company.
For a partnership :
A general partner may not be the owner of a private enterprise or a general partner of another partnership, unless otherwise agreed by the remaining general partners.
For limited liability companies with two or more members, single member limited liability companies and joint-stock companies:
An individual can establish many limited liability companies or joint stock companies.
